Before we proceed, it is important that you review and understand the Terms and Conditions outlined below. These terms govern the provision of our services and the use of all products we offer, ensuring clarity and mutual agreement on our business relationship. By accepting a quote or invoice from us, you acknowledge that you have read, understood, and agreed to be bound by these terms and any subsequent amendments. Your continued business with us following any updates to these terms constitutes acceptance of those changes. Please read the following terms carefully and do not hesitate to contact us with any queries you may have before confirming your acceptance.
Quotation related
- Quotation Expiry: If an expiration date is specified on the quotation, please ensure that your order confirmation is submitted by 18:00 SGT on the day of expiration. This will guarantee that your order is processed under the terms of the current quote.
- Order Processing: The processing of new orders will be put on hold until all outstanding payments are settled. This suspension remains in effect until financial obligations are met to ensure compliance with credit terms.
- Price Adjustments: Prices are subject to adjustment upon the expiration of the quote validity period. Such adjustments may occur without prior notice, reflecting changes in market conditions or cost factors.
- Currency Exchange Rate: Prices quoted in any currency other than SGD (Singapore Dollar) will be calculated based on the aCloud exchange rate effective on the date of the quotation. This is to ensure currency fluctuations are appropriately accounted for in the billing process.
- Net Prices: Prices specified in the quotation are NETT, representing the total cost excluding any applicable current or future taxes such as sales tax, Goods and Services Tax (GST), excise tax, Value Added Tax (VAT), turnover tax, as well as import duties, bank charges, brokerage fees, or other statutory charges and/or duties. The Customer is solely responsible for the payment of such taxes, duties, and charges that may be imposed on the purchase or import of the goods.
Invoice related
- Payment Instructions:
- Cheques payment: All cheques must be crossed and issued in the name of “ACLOUD PTE LTD” to ensure that they can only be deposited into the specified account and not cashed directly.
- Bank Transfer details refer to your invoice for up-to-date information.
- Bank Charges: Please select “OUR” (Sender pays all charges) when making the payment, and not “SHA” (Shared) or “BEN” (Beneficiary Pays). You are responsible for all charges, including those from the remitting, intermediary, and beneficiary banks. Should there be any bank charges incurred that are not covered under this arrangement, aCloud will issue an invoice for these charges. All applicable charges will be debited from your account after the amounts are identified and confirmed. This ensures that the full remittance amount arrives without deductions for transfer fees.
- Payment Terms: If you are granted payment terms, please ensure that we receive your payment by 18:00 SGT (Singapore Time) on the due date. Timely receipt of your payment is essential to maintain the terms of your agreement and avoid any potential disruptions in service.
- Interest on Late Payments: aCloud will apply an interest charge of 0.1% per day on all amounts outstanding past the due date. This interest will accrue daily until the full balance is settled, as per the agreed terms.
Cancellation Policy
In special circumstances, such as incorrect quantity, the following cancellation policies apply
- For Microsoft related licenses
- Perpetual License: Cancellations can be made within 25 days of purchase. An administrative/restocking fee of SG$50 will be charged.
- Microsoft/Dynamics 365 Subscription: Cancellations must be made within 5 days of purchase and on a business day. A prorated refund will be issued based on the unused portion of the paid period. For example, if the cancellation occurs on the third day, the refund will cover the remaining period minus the three days already elapsed. An administrative/restocking fee of SG$50 also applies.
